Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you") and Fusion Tech Solution LLP (trading as Fusion Technology Solutions), a limited liability partnership registered in Ahmedabad, India ("Company," "we," "us").

By accessing our website at fusiontechsolutions.ai or engaging our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our website or services.

2. Services

We provide software development, consulting, and technology services including but not limited to:

• Web and mobile application development
• Custom software engineering
• AI and agentic workflow development
• Cloud architecture, deployment, and infrastructure management
• Technical consulting and code audits
• Ongoing maintenance and support (Operate track)

The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties before work begins.

3. Engagement & proposals

• All projects begin with a written proposal or SOW that outlines scope, deliverables, timeline, and cost.
• Work commences only after both parties have agreed to the SOW in writing (email acceptance is sufficient).
• Changes to scope after the SOW is signed will be documented in a change order with updated cost and timeline estimates. You decide whether to proceed.

4. Pricing & payment

• Pricing is either fixed-scope or time-boxed (sprint-based), as specified in the SOW.
• Invoices are issued according to the payment schedule in the SOW (typically milestone-based or monthly).
• Payment is due within 15 days of invoice date unless otherwise agreed.
• Late payments may incur interest at 1.5% per month on the outstanding balance.
• We reserve the right to pause work if invoices remain unpaid for more than 30 days.

5. Intellectual property

5.1 Client deliverables

Upon full payment, all custom code, designs, and deliverables created specifically for your project are assigned to you. You receive full ownership of the final deliverables.

5.2 Pre-existing & reusable components

We retain ownership of pre-existing tools, libraries, frameworks, and general-purpose code that we bring to or develop during the project. You receive a perpetual, non-exclusive, royalty-free licence to use these components as part of your delivered product.

5.3 Open-source software

Projects may incorporate open-source software governed by their respective licences. We will disclose significant open-source dependencies and their licence types upon request.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement, including business plans, technical specifications, source code, and financial data. This obligation survives termination of the engagement for a period of 3 years.

Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Warranties & disclaimers

• We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.
• We provide a 30-day warranty period after delivery during which we will fix bugs in the delivered scope at no additional cost.
• Beyond the warranty period, bug fixes and enhancements are billed separately or covered under an Operate track agreement.

Except as expressly stated above, services are provided "as is." We disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

8. Limitation of liability

• Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific project giving rise to the claim.
• We shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
• We are not liable for delays or failures caused by circumstances beyond our reasonable control (force majeure), including natural disasters, internet outages, or government actions.

9. Termination

• Either party may terminate the engagement with 14 days' written notice.
• Upon termination, you pay for all work completed up to the termination date.
• We will deliver all completed work, source code, and documentation produced up to the termination date.
• Either party may terminate immediately if the other party materially breaches these Terms and fails to cure the breach within 14 days of written notice.

10. Website use

You agree not to:

• Use our website for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorised access to our systems or interfere with the website's operation.
• Scrape, crawl, or use automated tools to extract content from our website without written permission.
• Reproduce, distribute, or create derivative works from our website content without authorisation.

11. Indemnification

You agree to indemnify and hold harmless Fusion Tech Solution LLP, its partners, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms or misuse of our services.

12. Non-solicitation

During the engagement and for 12 months after its conclusion, neither party shall directly solicit or hire the other party's employees or contractors who were involved in the project, without prior written consent.

13. Dispute resolution

• Both parties agree to attempt to resolve disputes through good-faith negotiation first.
• If negotiation fails, disputes shall be resolved through arbitration in Ahmedabad, India, under the Arbitration and Conciliation Act, 1996.
• These Terms are governed by and construed in accordance with the laws of India.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire agreement

These Terms, together with any SOW and our Privacy Policy, constitute the entire agreement between you and Fusion Tech Solution LLP. They supersede all prior agreements, representations, and understandings relating to the subject matter.

16. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via a notice on our website. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
